BDF Design, LLC Standard Terms of Sale.
All sales are subject to the following terms and conditions:
1. Customer Acknowledgment.
Customer acknowledges agreement with these Terms of Sale by the placement of an order to purchase a Product from BDF Design, LLC.
2. All Sales Made In Oregon.
All sales shall be deemed made in the State of Oregon, USA, regardless of the location of the Customer.
The Customer agrees that any dispute with BDF Design, LLC arising out of the Customers purchase from BDF Design, LLC shall be brought by the Customer exclusively in the state or federal courts situated in the State of Oregon; and the Customer hereby agrees that such venue is appropriate and that BDF Design, LLC agreement to sell and deliver products to the Customer is dependent on this provision.
3. Purchase Price.
(a) Prices and promotions are listed in the BDF Design, LLC web site and its advertisements, and are subject to change without notice.
(b) Payment is due before shipment, unless credit terms have been arranged in advance with the BDF Design, LLC credit department. In such case, payment terms shall be as set forth in the credit agreement.
(c) BDF Design, LLC shall not be liable for handling or customs charges for shipments outside the United States.
4. Shipping Terms.
Risk of loss is upon customer once BDF Design, LLC delivers the product to the carrier. Delivery times are estimates only and BDF Design, LLC shall not be liable for delays.
5. Vendor License Agreements.
Customer agrees to abide by all license provisions or end user agreement imposed by the manufacturer or publisher.
6. International.
Products sold by BDF Design, LLC may be exported from the United States only in accordance with the Export Administration Regulations. Diversion contrary to United States law is prohibited. Customer warrants and represents that it is eligible to receive Products under United States law and agrees to abide by any export or re-export restrictions imposed by the manufacturer or publisher.
7. WARRANTY.
(a) We warrant that the equipment is free from defects in material and workmanship under normal use and service. The provisions of this warranty shall not apply to any equipment that has been subject to misuse, negligence, alteration, accident, improper installation, normal deterioration due to wear, or has been repaired outside our place of business in any way as in our reasonable judgement, to adversely affect its performance and reliability.
(b)Our obligation under this warranty is limited to repairing or replacing, at our option, any product that is returned to our place of business and when in its examination shall disclose to our reasonable satisfaction that it is defective. The repair or replacement of the defective parts under this warranty will be made without charge for parts or labor accrued at our place of business. Shipping charges for returning parts to BDF Design, LLC shall be the responsibility of the customer. BDF Design, LLC will pay shipping charges when returning warrantable parts to the customer. BDF Design, LLC will not accept C.O.D. shipments of returned goods.
(c) The warranty is effective as of the date of sale to the original purchaser and extends for a period of 1 year. Since it is the responsibility of the owner to verify original purchase date, BDF Design, LLC recommends that a bill of sale or sales receipt be kept with the owners manual.
(d) The duration of any implied warranty of merchantability or fitness for a particular purpose shall be limited in all respects to the duration of the limited warranty, and the warranty described above shall be in lieu of any other express warranty. Some states do not allow limitations on how long implied warranties last, so the above limitations may not apply to you. We neither assume or authorize any other persons to assume any other liability in connection with our products.
(e) The buyers sole and exclusive remedy against the seller shall be for the repair or replacement of defective merchandise as provided above. No other remedy, including but not limited to, incidental or consequential damages for lost profits, lost sales, injury to property or any other incidental or consequential loss, shall be available to him. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. Before using, user shall determine the suitability of the product for its intended use, and user assumes all risk and liability whatsoever in connection there with.
(f) BDF Design, LLC will not, under any circumstances, reimburse the cost of warranty parts purchased from sources other than BDF Design, LLC.
(g)This warranty gives you specific legal rights, and you may have other rights which vary from state to state.
8. LIMITATION OF LIABILITY.
The buyers sole and exclusive remedy against the seller shall be for the repair or replacement of defective merchandise as provided above. No other remedy, including but not limited to, incidental or consequential damages for lost profits, lost sales, injury to property or any other incidental or consequential loss, shall be available to him.
